GovSight Website and Services Terms

These GovSight Website and Services Terms (the "Terms") govern your access to and use of the websites located at govsight.co and its subdomains, the GovSight Directory, the GovSight Federal Contract Readiness Assessment, the GovSight Resource Library, the PursuitWorks platform, and any other product, service, content, download, or feature provided by GovSight Co, LLC ("GovSight," "Company," "we," "us," or "our") (collectively, the "Services"). "You" means the natural person or legal entity accessing or using the Services.

The Terms are organized in two parts. Part A applies site-wide to every Service, including the free Directory, Assessment, and Resources tools, the marketing site, and any other publicly available portion of govsight.co. Part B applies in addition to Part A whenever you access or use the PursuitWorks platform. If Part B conflicts with Part A as to the PursuitWorks platform, Part B controls; otherwise Part A controls.

BY ACCESSING THE SERVICES, CHECKING ANY "I AGREE" BOX, SUBMITTING ANY FORM, CREATING AN ACCOUNT, OR DOWNLOADING ANY CONTENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION AND CLASS-ACTION WAIVER IN PART A SECTION A10. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICES.

PART A. SITE-WIDE TERMS

Applies to every visitor and user of any GovSight Service, including the free Directory, the Federal Contract Readiness Assessment, the Resource Library, the marketing site, and any other GovSight property.

A1. Scope and Eligibility

You represent that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. GovSight may refuse, restrict, or terminate access to any Service at any time, with or without cause, and with or without notice.

A2. Free Tools Are Informational Only

The Readiness Assessment, the Directory, the Resource Library, the marketing site, and any other content available without a paid subscription (collectively, the "Free Tools") are provided for general informational purposes only. Without limiting the foregoing:

  • The Readiness Assessment scores answers using a deterministic rubric. Scores, tiers, and 30/60/90 day suggestions are educational and do not certify, accredit, or qualify any organization for any federal contract, registration, or program;
  • The Directory lists third-party providers based on information supplied by the listed entity or pulled from public sources. GovSight does not verify, endorse, or guarantee the services, credentials, certifications, security posture, performance, or claims of any listed provider, and accepting an introduction through the Directory does not create any relationship between you and GovSight regarding the services of that provider;
  • The Resource Library distributes templates, checklists, and explanatory materials that describe general GovCon practices. Templates are starting points, not advice tailored to your situation, and must be reviewed and adapted by qualified personnel before use;
  • No Free Tool guarantees a contract award, a favorable evaluation, a successful registration, a successful protest, a successful audit, a successful inspection, or any other business or regulatory outcome.

A3. No Professional Advice

Nothing the Services produce constitutes legal, regulatory, tax, accounting, financial, security, compliance, or other professional advice. The Services do not establish an attorney-client, accountant- client, fiduciary, agency, or advisor relationship between you and GovSight. You are solely responsible for obtaining qualified professional advice before relying on any output of the Services.

A4. No Warranties

THE SERVICES, INCLUDING ALL FREE TOOLS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. GovSight does not warrant that the Services will meet your requirements, that any output will be accurate or current, that defects will be corrected, or that the Services will be available at any particular time or location.

A5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOVSIGHT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, "GOVSIGHT PARTIES") BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages;
  • Any loss of profits, revenue, business opportunities, contracts, goodwill, data, or anticipated savings;
  • Any damages arising from a lost or unsuccessful bid, a proposal rejection, a non-responsive determination, a protest outcome, a CPARS rating, a compliance finding, an audit outcome, a registration delay, or any other government contracting decision;
  • Any damages arising from reliance on a Free Tool output, including the Readiness Assessment scorecard, a Directory listing, a Resource download, or any informational content on the marketing site;
  • Any damages arising from interactions with third-party providers discovered through the Directory or any other Service;
  • Any damages arising from unauthorized access, data breaches, system failures, or service interruptions;
  • Any damages, in the aggregate, exceeding the greater of (i) one hundred U.S. dollars (US$100), or (ii) the total fees paid by you to GovSight in the twelve (12) months preceding the event giving rise to the claim.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, negligence, or otherwise) and even if GovSight has been advised of the possibility of such damages. They apply to Free Tool users as well as paid subscribers; the alternative US$100 floor exists because Free Tool users have not paid any fee.

A6. Indemnification

You agree to indemnify, defend, and hold harmless the GovSight Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or any output of the Services; (b) your submission of any Free Tool output, PursuitWorks output, or derivative thereof to any government agency, prime contractor, or third party; (c) any proposal, bid, offer, claim, registration, or document created using the Services; (d) your interactions with any third-party provider discovered through the Directory; (e) your violation of these Terms, the GovSight Acceptable Use Policy, or any applicable law, regulation, or third-party right; or (f) any claim that content you uploaded, submitted, or supplied infringes any intellectual property, privacy, or proprietary right.

A7. Acceptable Use

Your use of the Services is also governed by the GovSight Acceptable Use Policy available at /aup, which is incorporated by reference. Violation of the Acceptable Use Policy is a violation of these Terms.

A8. Intellectual Property

GovSight and its licensors own the Services, including all software, content, designs, trademarks, logos, and other materials available on the Services, except for content you supply. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services, except as expressly permitted by these Terms or by applicable law. Directory listings and Resource Library downloads are licensed to you for your internal informational use only, and may not be resold, sublicensed, or redistributed without GovSight's prior written consent. You retain ownership of content you supply to the Services and grant GovSight a limited, non-exclusive license to use, store, and process that content as necessary to operate and improve the Services.

A9. Privacy

Your use of the Services is also governed by the GovSight Privacy Policy available at /privacy, which is incorporated by reference. GovSight processes uploaded content and generated outputs to provide and operate PursuitWorks. GovSight does not use customer proposal content to train AI models.

A10. Dispute Resolution, Arbitration, and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Any dispute, claim, or controversy arising out of or relating to the Services or these Terms (a "Dispute") shall first be raised with GovSight in writing at support@govsight.co and the parties shall negotiate in good faith for thirty (30) days. If the Dispute is not resolved, it shall be resolved by BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association under its Commercial Arbitration Rules and, if applicable, its Consumer Arbitration Rules. The seat of arbitration shall be the State of Texas, and the arbitration may be conducted remotely. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND GOVSIGHT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR ARBITRATION. Disputes must be brought in your individual capacity only. If this class-action waiver is held unenforceable, the remainder of this Section A10 shall remain in effect.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court for Disputes within the court's jurisdiction, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property or confidentiality claims.

A11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and the Federal Arbitration Act governs the interpretation and enforcement of Section A10.

A12. Modifications

GovSight may modify these Terms at any time by posting an updated version. Material changes will be announced through the Services or by email where reasonably practicable. Continued use of the Services after the effective date of an update constitutes acceptance of the update.

A13. Miscellaneous

These Terms (including any document incorporated by reference) constitute the entire agreement between you and GovSight regarding the Services and supersede all prior agreements regarding the same subject matter. If any provision is held unenforceable, the remaining provisions remain in full force. GovSight's failure to enforce any provision does not constitute a waiver. GovSight may assign these Terms without restriction. You may not assign your rights or obligations without GovSight's written consent. Notices to GovSight should be sent to support@govsight.co.

PART B. PURSUITWORKS PLATFORM TERMS (END USER LICENSE AGREEMENT)

Applies in addition to Part A whenever you access or use the PursuitWorks platform. References in this Part B to the "Platform" mean the PursuitWorks software, services, APIs, documentation, and content. References to "this Agreement" in this Part B mean these Terms.

B1. License Grant

Subject to these Terms, GovSight grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes in connection with federal proposal development and bidding on federal contract opportunities. This license does not include the right to sublicense, resell, distribute, modify, reverse-engineer, decompile, or create derivative works of the Platform or any portion thereof.

B2. AI-Generated Content Disclaimer

THE PLATFORM UTILIZES ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES TO GENERATE CONTENT, ANALYSIS, RECOMMENDATIONS, AND OUTPUTS ("AI OUTPUTS"). YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • AI Outputs are generated by automated systems and may contain errors, inaccuracies, omissions, hallucinations, or outdated information;
  • AI Outputs do not constitute legal, financial, regulatory, or professional advice of any kind;
  • AI Outputs are not guaranteed to comply with any federal, state, or local laws, regulations, FAR/DFARS clauses, or solicitation requirements;
  • You are solely responsible for reviewing, verifying, editing, and validating all AI Outputs before use, submission, or reliance thereon;
  • No AI Output should be submitted to any government agency, contracting officer, or third party without thorough human review and independent professional verification;
  • GovSight makes no representation or warranty that AI Outputs will result in contract awards, favorable evaluations, compliance determinations, or any particular outcome.

B3. Government Contracting Specific Disclaimers

  • The Platform is not affiliated with, endorsed by, or connected to any government agency, including but not limited to the U.S. General Services Administration, Department of Defense, or any contracting activity;
  • FAR/DFARS clause analyses, compliance assessments, and regulatory interpretations generated by the Platform are for informational purposes only and must be verified by qualified legal counsel;
  • Price-to-win estimates, competitive intelligence, and market analyses are AI-generated approximations and should not be relied upon as the sole basis for pricing or bid decisions;
  • The Platform does not guarantee SAM.gov registration compliance, CAGE code accuracy, or any other registration or certification outcome;
  • Users remain solely responsible for compliance with all applicable federal acquisition regulations, truthful certifications (including but not limited to size standards, socioeconomic status, and organizational conflict of interest), and all representations made to the government.

B4. Intellectual Property and Proprietary Rights

GovSight's Proprietary Technology. The Platform — including all software, source code, object code, algorithms, AI prompt architecture, pipeline methodology, stage logic, system design, data models, APIs, user interfaces, graphics, and trademarks — is the exclusive proprietary and confidential property of GovSight Co, LLC and is protected by United States copyright law, trade secret law, and other applicable intellectual property laws. The PursuitWorks pipeline methodology, prompt engineering system, and stage-based context architecture constitute trade secrets of GovSight. No rights in GovSight's proprietary technology are granted to you except the limited license expressly set forth in Section B1.

Restrictions. You shall not, directly or indirectly: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, prompts, or methodology of the Platform or any portion thereof; (b) observe, study, or test the functioning of the Platform in order to extract or replicate its pipeline structure, prompt logic, or output methodology; (c) use the Platform to develop, train, or improve any competing product or service; (d) copy, reproduce, or create derivative works based on GovSight's proprietary technology; or (e) disclose any non-public aspects of the Platform to any third party.

Your Content. You retain ownership of documents and content you upload to the Platform. By using the Platform, you grant GovSight a limited, non-exclusive license to process your content solely to provide the services described herein. GovSight does not claim ownership of your uploaded content or the AI Outputs generated from it.

AI Output Ownership. AI Outputs generated by the Platform using your content and inputs are provided to you as work product for your use, subject to these Terms. GovSight retains all rights in the underlying models, prompts, and technology used to generate such outputs. To the extent any AI Output incorporates elements of GovSight's proprietary methodology, GovSight grants you a license to use such output solely for your internal federal proposal development purposes.

B5. Data, Privacy, and AI Model Training

Your use of the Platform is subject to the Privacy Policy and Part A Section A9. PursuitWorks uses Anthropic API access to process prompts, uploaded content, and generated outputs. Under Anthropic API policy, Anthropic does not use API inputs or outputs to train its models unless the API customer separately opts in or otherwise provides data for model improvement. GovSight processes uploaded content and generated outputs to provide and operate PursuitWorks. GovSight does not use customer proposal content to train AI models. You represent that you have the right to upload all content provided to the Platform. Customers are responsible for determining what information they are authorized to process through PursuitWorks and any connected commercial third-party AI services, including classified information, CUI, export-controlled materials, or other restricted content. You are solely responsible for ensuring compliance with all applicable data protection, procurement, confidentiality, and export control requirements.

B6. Subscription, Payment, Trials, and Commitments

Access to certain features requires a paid subscription. Unless a separate written order form or master services agreement states otherwise, paid PursuitWorks subscriptions may be sold month to month or on a twelve (12) month commitment term. New workspaces may receive a free trial that converts to the selected paid plan at the end of the trial unless cancelled under the checkout terms. Annual commitments may be paid upfront at a discounted annual rate.

By purchasing a paid subscription, you authorize GovSight and its payment processor to charge the applicable subscription fees for the selected billing cadence and commitment term, plus any applicable taxes. Subscription fees are non-refundable except as required by applicable law or expressly stated in a signed order form. If monthly installment payments fail, become past due, or are disputed, GovSight may suspend or terminate access and may pursue collection of amounts due under the selected commitment term, subject to applicable law and any separate written agreement.

Subscriptions may renew for additional twelve (12) month terms unless cancelled or non-renewed according to the applicable order form, checkout terms, or written notice process provided by GovSight. GovSight reserves the right to modify pricing for future renewal terms with at least 30 days' notice. Pricing changes do not reduce fees already committed for a then-current twelve (12) month term unless GovSight agrees in writing.

B7. Termination of Platform License

GovSight may suspend or terminate your Platform access at any time, with or without cause, and with or without notice. Upon termination, your license to use the Platform ceases immediately. Sections B2 through B5, the Part A site-wide terms (including A4, A5, A6, A9, A10, and A11), and any other provision that by its nature should survive, survive termination.

B8. Force Majeure

GovSight shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, cyber attacks, third-party service provider outages, or interruptions to AI model availability.
